These Terms & Conditions ("Terms") govern your access to and use of the website located at rivrhub.com and any related pages, forms, and content that link to these Terms (together, the "Site"). The Site is owned and operated by RivrHub, an Oklahoma company ("RivrHub," "we," "us," or "our").

By accessing or using the Site, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site.

1. Who the Site is for

The Site is a business-to-business marketing and informational website intended for brand owners, manufacturers, distributors, and other business users interested in RivrHub's e-commerce services. You must be at least 18 years old to use the Site. By using the Site on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

2. The Site is informational; services are governed by separate agreements

Content on the Site describes RivrHub's services, including marketplace management, brand protection, creative production, fulfillment, and social commerce programs. Nothing on the Site is an offer to purchase inventory, an offer to provide services, or a guarantee of any result. RivrHub's services are provided only under a separate written agreement between RivrHub and the client (for example, a partner agreement, purchase order terms, or a statement of work). If there is a conflict between these Terms and a signed agreement, the signed agreement controls for the services it covers.

Any client portal, dashboard, or reporting tool (including RivrLink) is provided to clients under their agreement with RivrHub. Access credentials are confidential. You are responsible for all activity under credentials issued to you or your organization and must notify us promptly of any unauthorized use.

3. Content is not professional advice

Articles, guides, calculators, case studies, newsletters, videos, and other materials on the Site are provided for general information. They are not legal, tax, financial, or investment advice, and they do not account for your specific circumstances. Marketplace policies, fees, and platform features (including those of Amazon, TikTok Shop, and Walmart) change frequently; we do not warrant that any description is current or complete. You should confirm current requirements directly with the relevant platform and consult qualified professionals before acting.

Case studies, testimonials, and performance figures describe specific clients' experiences. Results vary, and past performance does not guarantee future results for any brand.

4. Intellectual property

The Site and its contents, including text, graphics, logos, photographs, renders, videos, audio, downloadable files, software, page design, and the selection and arrangement of content, are owned by RivrHub or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

RivrHub, RivrLink, the RivrHub logo, and other RivrHub names and marks are trademarks of RivrHub. Amazon, TikTok, TikTok Shop, Walmart, and other third-party names and marks belong to their respective owners and are used for identification only. No affiliation or endorsement is implied.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to view and download Site content for your personal or internal business evaluation of RivrHub's services. You may not copy, modify, distribute, publicly display, sell, scrape, frame, or create derivative works from Site content, or remove any proprietary notices, without our prior written consent.

5. Acceptable use

You agree not to:

• use the Site for any unlawful purpose or in violation of any applicable law or regulation;
• attempt to gain unauthorized access to the Site, any account, or any connected system or network;
• use bots, scrapers, crawlers, or other automated means to access or collect data from the Site, except for search engines operating under our robots.txt;
• introduce viruses, malware, or other harmful code;
• interfere with the operation or security of the Site or burden its infrastructure;
• impersonate any person or entity or misrepresent your affiliation;
• submit false, misleading, defamatory, infringing, or unlawful content through any form, chat, or application; or
• use the Site to send unsolicited commercial messages or to harvest contact information.

We may investigate violations and suspend or terminate access at our discretion.

6. Information you submit

The Site includes forms, chat features, newsletter signups, scheduling tools, and job application pages. When you submit information, you represent that it is accurate and that you have the right to provide it. Do not submit confidential business information, trade secrets, or personal information of others through Site forms; RivrHub will handle confidential material only under a signed agreement.

By submitting ideas, suggestions, or feedback about RivrHub or the Site, you grant RivrHub a perpetual, irrevocable, royalty-free license to use them for any purpose without obligation to you.

7. Communications

By providing your contact information, you agree that RivrHub may contact you by email, telephone, or text message about your inquiry and, where permitted, about our services. Marketing emails include an unsubscribe link. Text messaging requires your separate consent and is governed by the SMS terms in our Privacy Policy; reply STOP to any text to opt out. Standard message and data rates may apply.

8. Third-party sites and services

The Site may link to third-party websites, platforms, videos, or tools, and may embed third-party services (for example, video hosting, chat, scheduling, or newsletter services). We do not control and are not responsible for third-party content, products, services, or privacy practices. Your use of third-party services is governed by their terms.

9. Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. RIVRHUB DOES NOT WARRANT THAT THE SITE WILL MEET YOUR REQUIREMENTS, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RIVRHUB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. RIVRHUB'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND DOES NOT APPLY TO SERVICES PROVIDED UNDER A SIGNED AGREEMENT, WHICH CONTAINS ITS OWN LIABILITY TERMS.

11. Indemnification

You agree to defend, indemnify, and hold harmless RivrHub and its officers, directors, employees, contractors, agents, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Site, your violation of these Terms, your violation of any law or third-party right, or any content you submit.

12. Copyright complaints

If you believe content on the Site infringes your copyright, send a notice under the Digital Millennium Copyright Act to our designated agent at info@rivrhub.com or by mail to the address below. Include: identification of the copyrighted work; identification of the allegedly infringing material and its location on the Site; your contact information; a statement that you have a good-faith belief the use is not authorized; a statement under penalty of perjury that the information is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature.

13. Governing law and disputes

These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-law rules. Before filing any claim, you agree to contact us at the address below and attempt in good faith to resolve the dispute informally for at least 30 days. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Oklahoma County, Oklahoma, and you consent to personal jurisdiction and venue there.

14. Changes to the Site and these Terms

We may modify, suspend, or discontinue any part of the Site at any time. We may revise these Terms by posting an updated version with a new effective date. Your continued use of the Site after changes are posted means you accept the revised Terms.

15. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any signed agreement, are the entire agreement between you and RivrHub regarding the Site. Headings are for convenience only.
